保證函為擔保契約

按當事人約定一方對於他方於一定擔保事故發生時，即應為一定之給付者，稱為擔保契約。此項契約具有獨立性，於擔保事故發生時，擔保人即負有給付之義務，不以主債務有效成立為必要，自不得主張主債務人所有之抗辯，此與民法上之保證契約具有從屬性或補充性者不同。倘當事人於擔保契約為立即照付之約款，擔保立即照付之義務時，擔保權利人當可依立即照付之形式要件行使權利，無庸對於擔保事項為實質之舉證（最高法院97年度台上字第838號、102年度台上字第584號判決參照）。又按解釋意思表示，應探求當事人之真意，不得拘泥於所用之辭句，民法第98條定有明文。所謂探求當事人之真意，乃在兩造就其意思表示真意有爭執時，應從該意思表示所植基之原因事實、經濟目的、社會通念、交易習慣、一般客觀情事及當事人所欲使該意思表示發生之法律效果而為探求，並將誠信原則涵攝在內，藉以檢視其解釋結果是否符合公平原則。

As a guarantee for the commitments undertaken by Tien Chin Yu Machinery Manufacturing Co., Ltd. towards yourselves or your order, we undersigned Mega International Commercial Bank Co., Ltd. Cheng Chung Branch hereby irrevocably and unconditionally undertake to pay to yourselves or your order immediately and within 3 (three) calendar days from receipt of your first written demand by facsimile and/or letter signed by your President Director or Vice President Director or your authorized representative, any amount up to USD 242,200.00 notwithstanding any challenge whatsoever or howsoever made by Tien Chin Yu Machinery Manufacturing Co.,Ltd, or any other Party and without arbitration, stating that Tien Chin Yu Machinery Manufacturing Co., Ltd. has failed to fulfill its contractual obligations under the said Contract. This Beneficiary's demand shall be accepted by us as conclusive evidence that the amount demanded is due to the Beneficiary.
